For the sake of our most promising return on investment opportunities we are still focusing financially on the tripod:

  1. ‘sustainable forestry’
  2. ‘sustainable hospitality’
  3. ‘sustainable aqua culture’

It has been recommended to raise the shareholders capital from US $ 1,000,000,- (in March 2005 certificated stock capital) to:

  • US $ 2.500,000,- as per 1 January 2006,
  • US $ 3.400.000,- as per 1 April 2006,
  • US $ 4.300.000,- as per 1 July 2006.

The new investment opportunities are based on the solid and sound growth scenario through:

  • increasing the landownership with neighbouring areas, up to 3.400 acres, area by area,
  • accelerating the sustainable forestry process with hardwood and giant bamboo species,
  • creating the real estate process ´El Pueblo Esperanza´, step by step,
  • engineering the aqua culture process with ´Pescado San Pedro´ in particular.

The existing share holders will have the ‘first right of refusal’ to invest additionally in proportion to their existing shares.

If some of these existing shareholders will not use this ´first right of refusal’ other serious new investors will have the opportunity to step in based on the (higher value) of the shares in the Costa Rican entity Hacienda la Esperanza Int. de Heredia S.A.

There are three financing and/or investment opportunities:

  1. buying shares in the first stage in portions of 5 % each (US $ 125,000, - per portion; payment before 01-01-2006; monthly increase of the value of the shares has been estimated on 1 %),
  2. taking a so-called ‘convertible’ in portions of US $ 125,000, - each during a period of three years as per 1 January 2006 on a yearly 7 % base with the opportunity to convert the ‘convertible loan’ (in Dutch: converteerbare obligatie) to shares of Hacienda la Esperanza Int. de Heredia S.A. as per 1 January 2009;
  3. a combination of the opportunities 1. and 2.
